Terms of Service.

1. Acceptance

By accessing virtusoperandi.com or using any product in the Virtus Operandi catalogue (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.

2. Use of the service

You may use the Service for lawful business purposes consistent with these Terms. You agree not to:

• Reverse-engineer, decompile, or attempt to extract source code from the Service, except where law permits;
• Use the Service to build a competing product;
• Interfere with the integrity, security, or performance of the Service;
• Upload content that infringes any third party's rights or violates applicable law;
• Use the Service to process data you are not authorized to process.

3. Your account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at security@virtusoperandi.com of any unauthorized use.

4. Intellectual property

The Service, including all software, designs, logos, and documentation, is owned by Virtus Operandi or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain all rights to data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.

5. Fees & billing

Paid subscriptions are billed according to the plan you select. Fees are non-refundable except as required by law. We may change pricing with at least thirty (30) days' prior notice; changes apply at the start of your next renewal period.

6. Customer data

We process Customer Data in accordance with our Privacy Policy and any Data Processing Addendum entered into with you. You are responsible for ensuring you have any required consents to share data with us.

7. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or if continued provision of the Service would expose us to legal liability. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

8. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as required by applicable law.

9. Limitation of liability

To the maximum extent permitted by law, Virtus Operandi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Governing law

These Terms are governed by the laws of Morocco, without regard to its conflict-of-laws rules. Any dispute arising from these Terms will be brought exclusively in the courts of Casablanca.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or via a notice on the Service at least thirty (30) days in advance. Continued use of the Service after changes take effect constitutes acceptance.
